Dusk Terms of Service

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER IN SECTION 15 THAT AFFECT YOUR LEGAL RIGHTS.

These Terms of Service (“Terms”) are a legal agreement between you and Dusk Labs, Inc., a New Jersey corporation (“Dusk,” “we,” “us,” “our”), governing your access to and use of the Dusk mobile application, any related websites, and all features, content, and services we offer (collectively, the “Service”).

By creating an account, tapping “I agree,” starting a free trial, or otherwise using the Service, you agree to these Terms and to our Privacy Policy, which is incorporated here by reference. If you do not agree, do not use the Service.

A note on how to read this document: These Terms were drafted to anticipate the specific risk areas a scheduling app for minors, with paid subscriptions and third-party AI processing, is likely to face. Every jurisdiction-specific value is filled in. They have not been reviewed by an attorney licensed in New Jersey, and no set of Terms can make a consumer-facing product immune to being sued — only to being well-defended if it is. Have counsel confirm the arbitration provider, notice address, and governing-law clauses before relying on this as binding.

1. Eligibility

You must be at least 13 years old to use Dusk. Dusk does not verify your age at sign-up; you are responsible for the accuracy of the information you provide.

If you are between 13 and 17 years old, by using Dusk you represent that: (a) you have your parent’s or legal guardian’s permission to use the Service and to enter into these Terms to the extent you are able to under applicable law; and (b) if you start a paid subscription, you represent that you are authorized to make that purchase or that your parent/guardian has authorized it.

If you are the parent or legal guardian of a user under 18 and you did not authorize their use of the Service, a subscription charge, or wish to disaffirm this agreement on their behalf, contact privacy@duskstudy.com. We will, upon reasonable verification that you are the account holder’s parent or guardian, (i) delete the account and associated data per our Privacy Policy, and (ii) refund the most recent billing period’s charge. This commitment applies regardless of general refund policy in Section 6 and is intended to make disaffirmance of a minor’s contract with us a fast, low-friction process rather than a disputed one.

Dusk is not intended for use by anyone under 13. If we learn an account belongs to a user under 13, we will terminate it per our Privacy Policy.

2. Your Account

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately at privacy@duskstudy.com if you suspect unauthorized use.

You may sign in using Sign in with Apple, Sign in with Google, or another supported method. You represent that the information you provide (name, email, grade level) is accurate.

3. The Service

Dusk connects to Google Classroom and/or Canvas (with your authorization) to pull assignments, uses AI to estimate their difficulty and duration, and schedules them into your free time using a deterministic algorithm that accounts for the fixed events, guardrails, and preferences you provide.

Dusk is a planning tool, not an academic guarantee. You remain solely responsible for:

Confirming assignment due dates, requirements, and submission with your teacher or the source platform (Google Classroom, Canvas) — Dusk’s copy of an assignment may be incomplete, stale, or mis-parsed.
Actually completing and submitting your work on time.
Your academic outcomes, including any grade, deadline, or consequence resulting from reliance on Dusk’s schedule, AI difficulty estimate, or copilot response.

See Section 8 (AI Features) and Section 10 (Disclaimers) for more on the limits of what Dusk can promise you.

4. License to Use the Service

Subject to these Terms, Dusk grants you a limited, personal, non-exclusive, non-transferable, revocable license to install and use the Dusk app on a device you own or control, for your own personal, non-commercial, educational use.

You may not:

Reverse engineer, decompile, or disassemble the app, except where applicable law gives you the right to do so despite this limitation.
Scrape, crawl, or use automated means to access the Service or extract data from it, other than through the connections (Google Classroom, Canvas) you personally authorize through official APIs.
Resell, sublicense, rent, or provide the Service to third parties as your own product.
Circumvent, disable, or interfere with any security or access-control feature, including entitlement/paywall checks.
Use the Service to violate your school’s academic integrity policy (e.g., submitting AI-generated work as your own — Dusk schedules and estimates difficulty; it does not write your assignments for you).
Upload content you don’t have the right to upload, or content that is unlawful, infringing, or contains another person’s personal information without their consent (e.g., a classmate’s graded paper with their name visible).

We reserve the right to suspend or terminate accounts that violate this section.

5. Your Content

“Your Content” means anything you submit to Dusk — photos of assignments, manually entered tasks, chat messages to the copilot, feedback on time estimates, and onboarding answers.

You retain ownership of Your Content. You grant Dusk a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and process Your Content solely to operate and improve the Service for you (including sending relevant portions to our AI sub-processors as described in the Privacy Policy). This license ends when you delete the content or your account, except for backup copies that age out per our retention schedule and any aggregated, de-identified data already generated from it.

You represent that Your Content doesn’t infringe anyone else’s rights and that you have the right to submit it (e.g., it’s your own assignment, not copied from a classmate without permission).

6. Subscriptions, Free Trials, and Billing

Free trial

Dusk may offer a free trial (currently 7 days, as disclosed in the app at the time you start it — the length and terms shown to you in-app at checkout control over any figure in this document if they ever differ). Unless you cancel before the trial ends, your selected paid plan begins automatically and your payment method will be charged.

Subscription plans

Dusk Pro is offered on a recurring subscription basis (currently monthly and annual plans, as priced in-app). Subscriptions automatically renew for successive periods of the same length, at the then-current price, until cancelled.

Billing

All purchases are processed by the Apple App Store or Google Play Store, or by our subscription-management vendor (RevenueCat) acting on our behalf. We do not receive or store your full payment card number. Your relationship with Apple/Google as a payment processor is also governed by their own terms.

Cancellation

You can cancel anytime, effective at the end of the current billing period, with no phone call, no retention offer, and no “are you sure” gauntlet:

In-app: Settings → Manage Subscription, which opens your App Store (or Google Play) subscription page where cancellation is a single tap.
Directly with the platform: your Apple ID subscription settings or Google Play subscription settings.

Because billing is handled by Apple and Google, cancellation on their subscription page takes effect immediately for future renewals and does not require going through Dusk at all.

Cancelling stops future renewals; it does not retroactively refund the current period except as described below or as required by law.

Refunds

Purchases made through the Apple App Store or Google Play Store are subject to those platforms’ refund policies, which Dusk does not control. Independent of platform policy, Dusk will refund the most recent charge, at our discretion or as required by law, where:

The charge resulted from a minor’s use without parental authorization (see Section 1); or
A verified billing or technical error on our part caused the charge.

Price changes

We will provide notice (in-app or by email) before a price increase takes effect for existing subscribers, and any increase will apply only to renewals after the notice period, not to your current paid term.

7. Educational Platform Connections

When you connect Google Classroom or Canvas, you authorize Dusk to access your assignment and course data through each platform’s official API, under the scope you grant during that platform’s own OAuth consent screen. Dusk accesses only official APIs — never scraping or credential-sharing — and you can revoke access at any time in Settings → Connections or directly through Google’s or Canvas’s account permissions.

Our use of data received from Google APIs is additionally governed by the Google API Services User Data Policy, including its Limited Use requirements, as described in the “Google API Services Limited Use” section of our Privacy Policy. Your use of Google Classroom and Canvas remains subject to Google’s and Instructure’s own terms.

Dusk is not affiliated with, endorsed by, or sponsored by Google, Instructure (Canvas), Apple, or your school. We are not responsible for outages, API changes, data accuracy, or policy changes on those platforms that affect Dusk’s functionality.

8. AI Features

Dusk uses third-party AI models (currently Google Gemini for difficulty grading and photo OCR, Anthropic Claude for the conversational copilot) to generate estimates, structured data, and conversational responses.

AI output can be wrong. Difficulty grades, time estimates, OCR’d assignment text, and copilot suggestions are generated automatically and may be inaccurate, incomplete, or not reflect your teacher’s actual requirements. You should treat AI-generated content as a starting point, not a verified fact, and independently confirm anything time-sensitive or graded.

Dusk’s core scheduling engine (which decides when a task is placed in your day) is deterministic, rule-based software — not an AI model — but it depends on inputs (due dates, difficulty, your fixed events) that may themselves come from AI estimates or from data you or a connected platform provided, and can therefore still be wrong if those inputs are wrong.

9. Push Notifications and Communications

By using Dusk, you consent to receive push notifications related to your schedule, assignments, and account (e.g., reminders, trial-ending notices). You can disable push notifications in your device settings at any time, though this may reduce the usefulness of the Service. We may also send account-related emails (e.g., security notices, deletion confirmations) that are not promotional and cannot be opted out of while your account is active.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

Without limiting the foregoing, Dusk does not warrant that:

The Service will be uninterrupted, timely, secure, or error-free;
Any assignment data pulled from Google Classroom or Canvas will be complete or accurate;
Any AI-generated difficulty grade, time estimate, OCR result, or copilot response will be accurate;
Using Dusk will improve your grades, time management, or any academic outcome.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL DUSK, ITS OFFICERS, EMPLOYEES, OR SUB-PROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST GRADES, LOST ACADEMIC OPPORTUNITY, MISSED DEADLINES, LOST DATA, OR LOST PROFITS, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF DUSK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

DUSK’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DUSK IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) $100 USD.

This limitation applies regardless of the legal theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if a remedy fails its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages (including, in some states, claims brought by or on behalf of a minor), so some of the above limitations may not apply to you, or may apply only to the extent permitted by that jurisdiction’s law.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by our negligence.

12. Indemnification

To the extent permitted by applicable law — and, where you are a minor, subject to the limits your jurisdiction places on enforcing indemnification obligations against minors — you agree to indemnify and hold Dusk harmless from third-party claims, damages, and reasonable legal fees arising from: (a) Your Content, (b) your violation of these Terms, or (c) your violation of any law or a third party’s rights (including your school’s academic integrity policy) through your use of the Service. Dusk will provide notice of any such claim and reasonable cooperation.

13. Intellectual Property

Dusk and its licensors own all right, title, and interest in the Service, including its software, design, “Dusk” name and logo, and all related trademarks. These Terms do not grant you any rights to our trademarks or branding.

If you send us feedback or suggestions about the Service, you grant Dusk a perpetual, irrevocable, royalty-free license to use them without restriction or compensation to you.

DMCA / Copyright complaints

If you believe content accessible through Dusk infringes your copyright, send a notice to privacy@duskstudy.com including: identification of the copyrighted work, identification of the allegedly infringing material, your contact information, a statement of good-faith belief that the use is unauthorized, and a statement under penalty of perjury that the notice is accurate and you are authorized to act. We will respond per applicable law.

14. Termination

You may stop using Dusk and delete your account at any time (Settings → Delete Account, or by emailing privacy@duskstudy.com).

We may suspend or terminate your access if you violate these Terms, if required by law, or if we discontinue the Service, with notice where reasonably practicable. Sections that by their nature should survive termination (including Sections 10–13, 15, and 17) will survive.

15. Dispute Resolution — Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your rights, including your right to file a lawsuit in court or participate in a class action.

Agreement to arbitrate

Except for disputes that qualify for small claims court or for injunctive relief to protect intellectual property or confidential information, you and Dusk agree that any dispute arising out of or relating to these Terms or the Service will be resolved through final and binding individual arbitration, rather than in court, administered by the American Arbitration Association (AAA), under its Consumer Arbitration Rules, except that either party may bring an individual action in small claims court.

Class action and jury trial waiver

You and Dusk each waive the right to a jury trial and to participate in a class action, class arbitration, or representative action. Disputes must be brought in an individual capacity only.

30-day opt-out

You may opt out of this arbitration agreement by emailing privacy@duskstudy.com with the subject “Arbitration Opt-Out” within 30 days of first accepting these Terms, including your name and account email. Opting out does not affect any other part of these Terms.

Minors and this section

If you are under 18, your continued use of the Service after your parent or guardian has permitted that use (per Section 1) constitutes your parent or guardian’s agreement to this Section 15 on your behalf, to the extent enforcement of an arbitration agreement against a minor requires guardian consent under applicable law. We recognize that the enforceability of arbitration agreements against minors varies by state and is an unsettled area of law; a court may decline to enforce this section against a user who was a minor at the time of the dispute. This section is severable — if a court finds it unenforceable as to a particular user or claim, the rest of these Terms remains in effect, and that dispute proceeds in court under Section 16 instead.

16. Governing Law and Venue

These Terms are governed by the laws of the State of New Jersey, without regard to conflict-of-laws principles. For any dispute not subject to arbitration under Section 15, you and Dusk consent to the exclusive jurisdiction of the state and federal courts located in Bergen County, New Jersey.

17. General

Changes to these Terms. We may update these Terms from time to time. We will notify you of material changes via in-app notice or email before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you don’t agree to updated Terms, stop using the Service and delete your account.

Severability. If any provision of these Terms is found unenforceable, the rest remain in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.

Assignment. You may not assign these Terms. Dusk may assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and Dusk regarding the Service and supersede any prior agreements.

Export/sanctions compliance. You may not use the Service if you are located in a country subject to a U.S. government embargo or are on any U.S. government restricted-party list.

Force majeure. Dusk is not liable for delays or failures caused by events beyond our reasonable control (e.g., outages at Google, Apple, Anthropic, or our infrastructure providers).

18. Apple App Store Additional Terms

These terms apply if you download Dusk from the Apple App Store:

Acknowledgement. These Terms are between you and Dusk only, not with Apple. Dusk, not Apple, is solely responsible for the app and its content.
Scope of license. Your license to use Dusk is limited to a non-transferable license to use it on any Apple-branded device you own or control, as permitted by the App Store Usage Rules, except that Dusk may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
Maintenance and support. Dusk is solely responsible for providing any maintenance and support for the app. Apple has no obligation to furnish any maintenance or support services.
Warranty. Dusk is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the app; to the maximum extent permitted by law, Apple has no other warranty obligation, and any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to a warranty are Dusk’s responsibility.
Product claims. Dusk, not Apple, is responsible for addressing any claims by you or a third party relating to the app or your use of it, including product-liability claims, any claim that the app fails to conform to a legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.
Intellectual property. In the event of a third-party claim that the app or your use of it infringes that third party’s intellectual property rights, Dusk, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
Legal compliance. You represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist supporting,” and that you are not on any U.S. Government restricted-party list.
Third-party beneficiary. Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

19. Schools and Districts

These Terms govern individual student use of Dusk. They do not, by themselves, satisfy a school district’s data-sharing, FERPA-official, or procurement requirements. If your school or district wants to formally authorize Dusk for its students, contact privacy@duskstudy.com to discuss a separate data-sharing agreement — do not rely on a student accepting these Terms as district-level approval.

This document is a drafting template informed by common patterns in consumer subscription apps serving minors (age representations, trial/cancellation disclosures, liability caps, arbitration with a minor-consent carve-out). It has not been reviewed by a licensed attorney. Before this governs real users and real payments, have it reviewed by counsel admitted in Dusk’s state of incorporation, who can confirm the arbitration provider, venue, and minor-enforceability language against current law in the states where your users live.
